Terms of Service

These terms govern access to and use of the Amicus platform provided by Serendipity LLC.

No legal advice. Amicus does not provide legal advice and use of this platform does not create an attorney-client relationship. Amicus provides general legal information and document assistance only. Laws vary by jurisdiction and change frequently; consult a licensed attorney for advice about your specific situation.

1. Acceptance

By accessing or using Amicus at https://eagles.law you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service. These Terms form a binding agreement between you and Serendipity LLC ("Amicus", "we", or "us").

2. The service

Amicus is an AI-assisted platform that provides general legal information, contract review, document drafting, matter tracking, and compliance checklists to help authorized users understand and organize legal work. Features may be added, changed, or removed over time.

3. Not legal advice; no attorney-client relationship

Amicus does not provide legal advice and use of this platform does not create an attorney-client relationship. All output — including chat answers, contract reviews, redlines, drafts, and compliance checklists — is general legal information generated by automated systems and may be incomplete or inaccurate. It is not a substitute for advice from a licensed attorney who can evaluate your specific facts and jurisdiction. You are solely responsible for any decision you make based on Amicus output. Where the platform recommends escalation, you should obtain review from a licensed attorney before relying on the information.

4. Eligibility and accounts

Amicus is provided only to authorized users associated with pre-approved corporate domains. You must be at least 18 years old and have authority to accept these Terms on behalf of the organization whose information you submit. You are responsible for maintaining the confidentiality of your authentication credentials and for all activity under your account.

5. Your content

You retain all rights to the contracts, documents, and other content you submit. By submitting content, you grant Amicus a limited license to process, cache, transform, and display that content solely to provide the features of the service. You represent that you have the authority to submit it and that doing so does not violate any law or third-party right.

Amicus integrates with third-party services (Google Workspace, Anthropic, OpenAI, SendGrid, and others). Use of those services is governed by their own terms, and Amicus is not responsible for their operation. Disruption or changes to a third-party service may affect Amicus functionality.

8. Fees

Where Amicus is provided on a paid basis, applicable fees and payment terms will be set out in a separate order form or subscription agreement. Where Amicus is provided free of charge or as a demonstration, we reserve the right to introduce fees or withdraw access with reasonable notice.

9. Intellectual property

Amicus and its underlying software, interface, branding, and documentation are the intellectual property of Serendipity LLC or its licensors. Nothing in these Terms transfers any right, title, or interest in Amicus to you except the limited right to use the service while this agreement is in effect.

10. Confidentiality

Information Amicus receives about your legal matters is confidential. We will not disclose it to any party other than the sub-processors listed in our Privacy Policy or as required by law. See our Privacy Policy for details.

11. Disclaimers

Amicus is provided "as is" and "as available". We make no warranties, express or implied, including fitness for a particular purpose, merchantability, or non-infringement. Amicus is not a law firm, does not practice law, and its output is not legal advice. AI-generated content may contain errors — you remain responsible for verifying any information before relying on it.

12. Limitation of liability

To the maximum extent permitted by law, Amicus and Serendipity LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to your use of the service. Our aggregate liability arising from the service will not exceed the greater of (a) the fees paid by you to Amicus in the 12 months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

13. Indemnification

You agree to defend and indemnify Serendipity LLC from any third-party claim, liability, or expense (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the service, or content you cause to be processed through the service in violation of applicable law.

14. Termination

Either party may terminate this agreement at any time by providing written notice. Amicus may suspend or terminate access immediately for violation of these Terms or if required by law. Upon termination, your right to use Amicus ends and we will delete or return your data in accordance with our Privacy Policy.

15. Changes to terms

We may update these Terms from time to time. Material changes will be communicated by email to signed-in users at least 14 days before taking effect. Continued use of the service after the effective date constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the jurisdiction in which Serendipity LLC is organized, without regard to conflict-of-laws principles. Any dispute arising from these Terms will be resolved in the state or federal courts sitting in that jurisdiction, and you consent to personal jurisdiction there.
